Broadcom Completes Acquisition of Athena Semiconductors, Inc.

IRVINE, Calif. and FREMONT, Calif., Oct. 19 /PRNewswire-FirstCall/ -- Broadcom Corporation (NASDAQ: BRCM), a global leader in wired and wireless broadband communications semiconductors, today announced that it has completed the acquisition of Athena Semiconductors, Inc., a fabless semiconductor company that specializes in mobile digital television tuner and low-power Wi-Fi(R) technology, headquartered in Fremont.

In connection with the acquisition, Broadcom paid a total of $21.3 million in cash in exchange for all outstanding shares of Athena capital stock and other rights of Athena. A portion of the consideration paid to Athena stockholders will be placed into escrow pursuant to the terms of the acquisition agreement. Broadcom may record a one-time charge for purchased in-process research and development expenses related to the acquisition in its fourth fiscal quarter, ending December 31. The amount of that charge, if any, has not yet been determined.
